Notice of 2023 Annual General Meeting

The 2023 Annual General Meeting (“AGM”) of the Alberta Motor Transport Association (“Association” and “AMTA”) will take place in-person as follows:

Thursday, April 20, 2023 – 9:00 am (Mountain Time)
Grande Ballroom – Delta Hotels Edmonton South Conference Centre
4404 Gateway Blvd NW | Edmonton, AB

About the AGM

In 2023, AMTA will celebrate 85 years serving Alberta’s commercial transportation industry and all Albertans. For the first time in three years, our AGM will be held completely in person to reflect on AMTA’s contributions and achievements and look forward to the years ahead.

The Association is ambitiously pursuing its new Strategic Plan while maintaining its unwavering commitment to foster safety as it has done for more than eight decades.

The 2022 Bylaws will be relied upon as the business of the 2023 AGM is conducted.

Who has the Right to Receive Notice and Vote?

Carriers in good standing, you are entitled to vote at the AGM.

 “All Carrier Members in good standing shall have the right to vote at a Meeting of Members. Associate Carriers Members, Associate Supplier Members, Associate Research Members and Associate Education and Training Members, whether in good standing or not, have no voting rights.”

How to register:

1.When you register online for the AMTA 2023 Annual Leadership Conference, you can also pre-register for the AGM, by providing verification you are an Eligible Voting Member or Designated Representative. You will receive a delegate package when you arrive at the event.

2. If you are not registered to attend the Association’s Annual Leadership Conference, you may register on the day of the AGM before it convenes, by verifying you are an Eligible Voting Member or designated representative.

Proxy Voting:

Members have the right to appoint/register a designate/proxyholder [or an alternate proxy holder] to represent them or their company at the meeting.  You are required to submit – in writing or electronic alternative – your designation/proxy appointment instructions. Please refer to Articles 2.6 “Designation of Voting/Proxy Representative” and 4.1 “Proxy Voting” guidance of the Association’s July 2022 Bylaws.

Board of Directors: Nomination of Candidates and Election Process

The Nominating Committee, in making its recommendations regarding Board appointments, will consider: board size, diversity, nominee suitability in terms of competency, core business skills, industry experience, and insight necessary to proactively steward the Association towards a vibrant and sustainable future.

Board Candidates:

“The Board shall present a slate of qualified nominees for election as Directors at the Annual General Meeting. The qualifications criteria of such nominees shall be determined by the Board. All nominations must include the signed consent of the nominee.”

Interest of Eligible Members in Serving as a Director on the AMTA Board of Directors:

Members interested in serving as an AMTA Board Member, nominating a Member for service, or professionals interested in learning more about serving on the Board of Directors, should send an email to the Nominating Committee.

Once the review process has been completed, AMTA will contact those who have expressed interest to provide details regarding the next steps.
