AMTA Director Role Description: Board Director, AMTA (Volunteer Position) 

Reports to: AMTA Board Chair 

 The Alberta Motor Transport Association (“AMTA” or “the Association”) is a not-for-profit, advocacy and safety training association: Advocate / Educate / Innovate. Since 1938, our work has encompassed a broad range of environmental, social, economic, safety and compliance issues that impact provincial highways and the transportation sector. Research and innovation are now at the forefront of our strategy, enabling the AMTA to bring key stakeholders together to lead research and develop new technologies that will significantly enhance the industry while reducing human and environmental impacts. 

The Association’s Board has substantially shifted from its beginnings in advocacy to an Association leading and delivering large and complex projects in partnership with multiple stakeholders. The AMTA strategy was borne from a desire for greater independence and sustainability that requires a member-focused approach and a new business model. The AMTA must now compete on the basis of value and continue to earn membership loyalty in a changing global environment.  

The AMTA Board defines its value by its ability to shape strategies and decisions that advance the Association into the future and drive value for the organization and its membership. This is achieved by a Board focused on shaping and overseeing the long-term intent of the AMTA as it relates to member service, safety education and training, and advocacy. The AMTA Board contributes strategic value to the Association by way of its capacity to produce diverse, objective, independent thinking and by engaging in thoughtful, strategically oriented discussion and debate.  

As a thinking partner and guide to the President, the Board exists “in” the governing system by helping to shape direction, but not “in the way” of the management of the organization, in its operational leadership role.

OBJECTIVE  

The Association, in recruiting potential directors, is looking for committed, enthusiastic individuals who bring their leadership skills, knowledge, experiences, and their strong commitment to serve the AMTA members of the transportation sector in Alberta.  

This volunteer position reports to the AMTA Board Chair and works with other Directors (Board Members) and at times industry stakeholders ensuring a positive direction for the organization and their members. This position is responsible for the oversight and governance of the AMTA and are the fiduciaries who steer the organization towards a sustainable future by adopting inclusive, sound, ethical, and legal governance, financial management policies, as well as by making sure the organization has adequate resources to advance its mission.  

As part of the Board’s Governance Model, Directors appointed in their initial term are supported by orientation and onboarding, including the support of a Board mentor.    

Board (including Committee) Meeting Frequency: 8 – 12 meetings per year  

Location: – Video conference or in-person meetings/events as necessary  

Hours Estimated: 4 – 6 hours per month  

 

BOARD DIVERSITY STATEMENT

A competent, capable board is by definition diverse, skilled, and experienced in the key areas relevant to the AMTA. These principles will be reflected in our recruitment, selection, orientation assessment (review/evaluation) and development efforts to ensure the board performs as a diverse and high-performing team. 

 

DIRECTOR TERM(S) 

Directors are appointed by eligible-voting Association Members to a two-year term and are eligible  to serve no more than four consecutive terms.  Directors will be required to stand for re-election at the end of each two-year term if they wish to  serve a consecutive term.  

 

PRIMARY ROLE RESPONSIBILITIES  

  • Capacity: 
  • Board Members are responsible for attending Board meetings prepared and ready to actively participate, facilitating productive discussions and making decisive decisions.  
  • Responds in a timely manner to all surveys and requests for feedback to facilitate analysis and informed and collaborative decision making.   
  • Directors are strongly encouraged to participate in Board Committees and other events during their tenure, including the nomination for Executive positions.  
  • Supports the evolution and growth of AMTA by reviewing changes and making adjustments that are in the best interests of AMTA and industry  
  • Supports and determines the AMTA’s Mission and Purpose  
  • Board Members are trusted, fiduciary stewards who act on behalf of AMTA, review and participate in strategic decisions  
  • Have a strong level of understanding and ability to read and analyze financial statements and ask probing questions  
  • Working knowledge of non-profit organizational by-laws, policies, accountabilities that affect AMTA  
  • Collaboration in strategic planning in conjunction with the President and the organization  
  • Create and support a collaborative culture of openness through authentic leadership  
  • Stay apprised of government activities and priorities impacting the AMTA  

 

EDUCATION AND EXPERIENCE 

Education: University/Post Secondary Business Education  or equivalent experience 

Experience and Competencies:  

  • Past board/governance experience is preferred  
  • Proven senior leadership level experience  
  • Demonstrated abilities as a successful leader and change management  
  • Knowledge of the transportation industry is preferred 
  • Ability to collaborate with cross-functional teams and ability to maintain strong network of industry partners and suppliers  
  • Experience in collaborative leadership and experience working with diverse communities and audiences  
  • Preference will be given to leaders with IT Services, insurance, accounting, human resources, legal, and member services experience.
